We are looking for an in-house company secretary based in Singapore and reporting to the CFO to handle the full spectrum of corporate secretarial duties for the group. This role is broader than a conventional Singapore corporate secretary role since it includes oversight of the relevant functions for our subsidiaries, as well as managing our repository of contracts.

To be successful in this role, you must possess strong knowledge of the Singapore Companies Act & ACRA requirements and preferably have a law degree. You must also be keen to expand your expertise to cover the corporate secretarial needs of our subsidiaries (currently in Vietnam, Indonesia, India, and the Philippines).

Key responsibilities:

1. Singapore jurisdiction:

  • Proactively advise on and handle all company secretarial matters
  • Ensure compliance with corporate governance and statutory requirements
  • Liaise with company’s legal associates on corporate secretarial and legal matters
  • Draft Board and Shareholder Resolutions, and coordinate their approvals
  • Attend and minute board meetings and AGMs
  • Prepare reports for submission of the annual returns including XBRL filing
  • E-lodgement of documents to ACRA and other Government Agencies
  • Safe-keeping and filing of originals of share certificates, agreements, statutory registers and records of the company
  • Track compliance with various shareholder agreements, loan documents
  • Once Trusting Social goes public, be the SGX authorized representative, prepare and release announcements and submit required documents to the regulators

2. Other jurisdictions:

  • Work closely with subsidiaries and joint-venture companies to ensure directors’ resolutions, shareholders’ resolutions and all other documents for local compliance and with the constitution, are prepared where necessary
  • Any other corporate secretarial general duties as assigned from time-to-time
  • Maintain the repository of all commercial contracts, regulatory filings, and other documents for the group and track any deliverables

Requirements:

  • ICSA qualification, member of Institute of Chartered Secretaries and Administrators (ICSA) will be advantageous
  • Minimum 5 years of corporate secretarial experience
  • Good understanding of the Singapore Companies Act, SGX listing requirements, Corporate Governance requirements and related regulatory policies
  • Ability to maintain highest standards of confidentiality, discretion and integrity
